Legal Counsel

Legal Counsel 
 

 

Reporting to the Head of Legal, the Legal Counsel will be part of the legal team and will be responsible for routing all local legal matters to the appropriate channels.  To provide advice and general legal support, risk assessments; review, redline, negotiate and maintain monitor customer and vendor contracts; maintain contract templates and updated standard clauses; review and approve a variety of corporate documents, applications, registrations, and regulatory matters, as may be required.

 

Your Responsibilities

 

General Legal

  • Prepares, drafts and negotiates a broad array of commercial agreements (including but not limited to confidentiality agreements, general terms and conditions, purchase and supply agreements, master agreements, real estate and leasing agreements, IT agreements, R&D agreements, service agreements, independent contractor agreements, and quality agreements).
  • Ensure flow of approval and execution of contractual documents in accordance with corporate and/or business unit guidelines and appropriate delegation(s) of authority.
  • Advises on/manages real estate, HSE, environmental and regulatory compliance matters.
  • Directs, monitors and supervises outside counsel.
  • Counsels management, prepares summaries and reports as needed regarding various disputes and potential litigation matters.
  • Performs internal legal/compliance audits.
  • Reports claims as needed to the insurance carrier.
  • Supports financial investigations, class action claims, bankruptcy notifications and other finance related functions as needed. 
  • Maintains records to track contract review requests and maintain records to track existing agreements.
  • Supports document retention requirements.
  • Perform those functions necessary for compliance with laws and Company policies regarding export control and trade compliance.
  • Assists with due diligence, and as applicable integration and onboarding for mergers, acquisitions or divestitures.
  • Trains employees in topics relative to legal functions, including but not limited to compliance/legal/risk management.
  • Identifies and mitigates general risk for the Company.
  • Monitors legal and regulatory changes and trends and integrates into the Company.
  • Meeting company standards pertaining to quantity and quality of work performed on an ongoing basis, performing work-related tasks in compliance with all Company policies and procedures.
  • Adhering to Company policies, procedures, and directives regarding standards of workplace behavior in completing job duties and assignments.
  • Participates in special projects and performs other duties as required.

Finance

  • Manages bankruptcy filings by customers and suppliers, as well as class actions.
  • Investigates claims of fraud.
  • Collaborates with regulatory agencies.
  • Reviews legal aspects of financial documents, such as credit applications.
  • Prepares auditor letters and other required compliance documents.
  • Provides training and development to Finance on related legal topics.

Labor & Employment

  • Supports Human Resources (“HR”) regarding general labor laws, employment matters, labor relations.
  • As may be required, manages immigration law for Oerlikon.
  • As may be requested, investigate, counsel and monitor compliance issues.
  • Assists with and provides guidance on training and development initiatives of HR team on legal, regulatory and compliance matters.
  • Special projects as required by local HR.
  • Support employment related investigations, audits, coordination of training.
  • Oversee external counsel on labor and employment law issues and litigation.
  • Review and support the creation of HR-related documents and initiatives, as needed, including but not limited to policies, procedures, releases, consents, notices, postings and manuals.
  • Draft, prepare, support and/or redline Company responses to regulatory agencies, as required.

 

Your Profile

 

  • Minimum of three years of legal experience practicing law in an in-house legal environment. 
  • Ability to work to work in a fast pace document review environment.
  • Solid contract review and management experience, preferably in an industrial/manufacturing environment.
  • Governmental contract experience with knowledge of FARS and DFARS provisions.
  • Expansive negotiating skills.
  • Ability to research regulatory issues and draft internal memorandums outlining corporate applications.
  • Business acumen. Strong inter-personal skills in dealing with all levels of management, suppliers and vendors.
  • Excellent verbal and written communication skills; additional languages a plus.
  • Global experience recommended; experience with international contracts a plus.
  • Current admission to New York State, North Carolina, and/or Michigan Bar.
  • High proficiency in Microsoft Word, Excel, PowerPoint, SharePoint and TEAMS.
  • Knowledge of export compliance a plus. Insurance claims and risk management experience a plus.
  • Strong ethical character.
  • Flexibility to work independently and in a team environment.
  • Adaptability to changes in workflow and assignments.
